Agreement summary
By accessing or using ORKA, you agree to these Terms and any project-specific documents accepted during an investment request. Project documents control where they expressly conflict with general platform information.
Digital resort participation involves risk. ORKA does not promise returns, liquidity, capital preservation, exchange-rate stability, or universal availability. Invest only after reviewing the applicable documentation.
Structural and legal guarantees
Three distinct layers protect the ownership structure.
Asset Isolation addresses who holds the resort, the Orca Safety Net addresses qualifying operating disruption, and Capital Recovery addresses how an investor may retain or transfer the digital interest. Each layer has a separate legal and financial function.
Asset Isolation (SPV)
ORKA states that it invests in established, operating resort assets rather than fictitious currencies or projects that have not begun operating. The digital interest is linked to a real resort with physical land, buildings, operating activity, and market value.
Each resort is held through a legally separate Special Purpose Vehicle (SPV), while digital-share ownership is recorded through the applicable smart contract. This separation is intended to keep the resort-holding structure distinct from ORKA's technology-platform operations.
- The underlying resort is registered under a project-specific SPV rather than held solely by the operating website.
- A disruption or insolvency affecting the technology platform does not, by itself, transfer the SPV-held asset into the platform's estate.
- The exact ownership, enforcement, and continuity rights remain subject to the SPV documents, smart contract, and applicable law.
Orca Safety Net
ORKA allocates a dedicated reserve from its core capital to support qualifying cash-flow shortfalls during seasonal tourism slowdowns or exceptional events. The reserve is designed to operate as a financial buffer alongside hotel-operating agreements that may include minimum-revenue provisions.
Any intervention, distribution support, or replenishment is governed by the relevant project documents and the reserve's actual availability. The Safety Net is structurally separate from asset ownership and does not convert the investment into a bank deposit or insurance contract.
- The reserve is funded from ORKA's core capital and associated with the relevant project-protection framework.
- Its stated purpose is to absorb qualifying operating shocks and support distribution continuity during exceptional disruption.
- A displayed balance is not an unconditional guarantee of returns, capital value, redemption, or loss reimbursement.
Capital Recovery (Tokenization and Secondary Market)
While an investor retains digital shares, the investor continues to hold the contractual interest in the asset and remains eligible for periodic USDT distributions under the governing project terms. The invested capital is represented by the value of the digital shares themselves.
An investor seeking liquidity may list eligible digital shares for sale to another eligible investor through the platform's peer-to-peer secondary market. The investor may also benefit if a later resort valuation supports a higher market price, although neither a buyer nor capital appreciation is guaranteed.
- Tokenization records and divides the investment interest; it does not eliminate real-estate, market, or liquidity risk.
- A secondary-market sale completes only when an eligible counterparty and all applicable legal, compliance, and platform conditions are satisfied.
- Any capital gain depends on the resort's future valuation and the price accepted in a completed sale.
Eligibility and permitted access
You must be legally capable of entering a binding agreement, satisfy the minimum age in your jurisdiction, and use ORKA only where access and participation are lawful. Restricted persons and sanctioned jurisdictions may not use investment functions.
ORKA may request identity, source-of-funds, tax, residency, or eligibility information before accepting or continuing a transaction. Access to information does not constitute an offer where an offer would be unlawful.
- Provide accurate, current information and promptly correct material changes.
- Do not use ORKA on behalf of another person without documented authority.
- You are responsible for understanding the laws that apply to your participation.
Accounts and authentication
You are responsible for activity performed through your account and for maintaining the confidentiality of passwords, email access, recovery methods, and authentication factors. Notify ORKA promptly if you suspect compromise.
ORKA may suspend access to protect users, investigate unusual activity, enforce these Terms, or comply with law. Suspension does not cancel valid obligations or alter confirmed ownership records.
- Use a unique password and secure the email address connected to the account.
- Never share an account, impersonate another user, or bypass access controls.
- ORKA support will never request a private key or wallet recovery phrase.
Project information and investment requests
Project pages may describe a resort, price per share, available inventory, funding progress, feasibility materials, Safety Net balance, and operating assumptions. Information may change before an investment is approved.
Clicking a purchase control creates a request for review; it does not itself issue shares or guarantee allocation. An investment becomes effective only after the applicable transfer and documentation are verified and the request is approved.
- Review the complete project documentation, fees, rights, and restrictions.
- Funding percentages and availability are informational until final approval.
- ORKA may reject or reduce a request where inventory or eligibility is insufficient.
Manual USDT settlement
ORKA currently verifies USDT payments manually. You must send the exact requested amount, using the supported token and network, to the company wallet shown in the current transaction instructions before the quote or request expires.
A transfer is not credited merely because it appears on-chain. Administrative review must associate the confirmed transfer and receipt with the correct user, project, amount, and share inventory. Network and exchange fees remain your responsibility.
- Transfers to an incorrect address, token, or network may be unrecoverable.
- Do not rely on wallet instructions received through an unverified message.
- Duplicate, underpaid, overpaid, or late transfers may require additional review.
Digital shares, records, and distributions
A digital share represents the contractual economic and other rights stated in the relevant project documents. It is not automatically a deed to real property, a bank deposit, a stable-value instrument, or a freely transferable blockchain token.
ORKA's approved investment ledger records shares assigned to an account. Profit distributions, when declared and received for allocation, are calculated under the project terms and credited proportionally before an eligible claim can be reviewed.
- Rights differ by project and exist only as described in its governing documents.
- Distributions depend on actual results, available funds, approvals, and applicable deductions.
- Transfers, redemptions, or secondary sales are unavailable unless expressly provided.
Investment and technology risk
Resort projects may face construction, permitting, operator, demand, climate, insurance, financing, currency, tax, political, and liquidity risks. Forecasts, occupancy assumptions, and illustrations are not guarantees of future performance.
USDT and its supporting networks introduce issuer, depegging, custody, exchange, congestion, smart-contract, cyber, and regulatory risk. The Safety Net may improve resilience within defined limits but is not insurance or a guarantee against loss.
- You may lose some or all of the amount committed to a project.
- Investments may be illiquid and unsuitable for short-term financial needs.
- Past project results and displayed balances do not predict future outcomes.
Acceptable use and platform integrity
You may not use ORKA to violate law, launder funds, evade sanctions, defraud another person, manipulate records, introduce harmful code, scrape protected data, interfere with availability, or test security without written authorization.
Content, brand elements, software, and platform design are owned by ORKA or its licensors. A limited, revocable, non-transferable right is granted solely for lawful personal use of the service.
- Do not submit false receipts, wallet records, identities, or project information.
- Do not reproduce ORKA content in a way that implies endorsement or affiliation.
- Responsible security reports should be sent privately through verified support.
Availability, liability, and changes
ORKA aims to provide reliable information and workflows but may update, interrupt, restrict, or discontinue functions for maintenance, security, legal, or operational reasons. General platform content is provided without individualized investment advice.
To the extent permitted by law, ORKA is not liable for indirect or consequential loss, market movements, third-party services, user error, or irreversible transfers outside its control. Rights that cannot lawfully be excluded remain unaffected.
- Project-specific liability provisions may apply to a particular participation.
- Material changes to these Terms will be published with an updated effective date.
- If one provision is unenforceable, the remaining provisions continue in effect.
